TERMS & CONDITIONS

1. Introduction

1.1 These Terms & Conditions govern the contractual relationship between SayYes Design (“the Designer”) and the client (“the Client”).

1.2 By commissioning the Designer, the Client agrees to be bound by these Terms & Conditions.

2. Scope of Work

2.1 The Designer will provide wedding stationery design and/or print services as outlined in the agreed project proposal, quote, or brief.

2.2 Any work requested outside the agreed scope will require written approval and may be subject to additional fees.

3. Payment

3.1 The Client agrees to pay all fees as outlined in the proposal, quote, or invoice.

3.2 A non-refundable deposit is required to secure a booking and commence work.
3.3 The remaining balance must be paid in accordance with the agreed payment schedule and in full before final artwork is released or printing begins.
3.4 Late payments may result in delays to the project timeline.

4. Ownership & Usage Rights

4.1 All designs remain the intellectual property of the Designer.
4.2 Upon full payment, the Client is granted a licence to use the final designs for personal use only.
4.3 The Client may not resell, reproduce for commercial purposes, or modify the designs without written permission from the Designer.
4.4 The Designer reserves the right to display completed work in portfolios, on the Designer’s website, and on social media for promotional purposes unless otherwise agreed in writing.

5. Revisions

5.1 The Client is entitled to a reasonable number of revisions as outlined in the project proposal.
5.2 Additional revisions or changes outside the agreed scope may incur extra charges.
5.3 Once final approval is given, any further changes may be treated as a new project.

6. Proof Approval & Printing

6.1 The Client is responsible for carefully reviewing and approving all proofs before printing.
6.2 The Designer is not responsible for errors (including spelling, dates, names, or addresses) once final approval has been given.
6.3 Colour variations may occur between screen displays and printed materials; this is considered normal and not a fault.
6.4 Where third-party printers or couriers are used, the Designer is not liable for delays, errors, or damages beyond reasonable control.

7. Confidentiality & Data Protection

7.1 Both parties agree to keep confidential any sensitive information shared during the project.
7.2 The Client must notify the Designer in writing of any information that is particularly sensitive prior to the project commencing.
7.3 Personal data will be handled in accordance with applicable UK data protection laws.

8. Termination

8.1 Either party may terminate the agreement in writing if the other party materially breaches these Terms & Conditions.
8.2 If the Client terminates the agreement, all deposits paid are non-refundable, and the Client will be invoiced for any work completed up to the termination date.
8.3 If the Designer terminates the agreement, any deposits paid will be refunded in full, and no further payment will be due.

9. Deadlines

9.1 The Designer will make reasonable efforts to meet agreed deadlines.
9.2 Deadlines are estimates unless expressly agreed in writing, and the Designer is not liable for delays caused by late approvals, late payments, or circumstances beyond reasonable control.

10. Liability

10.1 The Designer’s liability is limited to the total value of the fees paid for the services.
10.2 The Designer is not liable for indirect or consequential loss, including loss of profits or emotional distress.
10.3 Nothing in these Terms & Conditions excludes or limits rights that cannot be excluded under UK consumer law.

11. Force Majeure

11.1 Neither party shall be liable for failure or delay in performing obligations due to events beyond reasonable control, including but not limited to acts of God, illness, strikes, or supply chain disruptions.

12. Governing Law

12.1 These Terms & Conditions shall be governed by and construed in accordance with the laws of England and Wales.

13. Entire Agreement

13.1 These Terms & Conditions constitute the entire agreement between the parties and supersede all prior discussions or agreements.

14. Amendments

14.1 Any amendments to these Terms & Conditions must be agreed in writing.

By engaging the services of SayYes Design, the Client confirms that they have read, understood, and agreed to these Terms & Conditions
